Welcome to Brian! These Terms and Conditions ("Terms") govern your use of our chatbot application ("App"). By accessing or using the App, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the App.

1. Acceptance of Terms

By using the App, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Changes to Terms

We may modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page. Your continued use of the App after any changes constitutes your acceptance of the new Terms.

3. User Accounts

To access certain features of the App, you may be required to create an account by signing in with your wallet. Connecting your wallet and signing the provided message if required to use the App, and it implies that you accept these Terms and Conditions.

4. Privacy Policy

Your use of the App is also governed by our Privacy Policy, which can be found here. By using the App, you consent to the collection and use of your information as outlined in the Privacy Policy.

5. User Conduct

You agree not to use the App for any unlawful purpose or in a way that could damage, disable, overburden, or impair the App. You agree not to engage in any activity that interferes with or disrupts the App or the servers and networks connected to the App.

6. Intellectual Property

All content, features, and functionality of the App, including but not limited to text, graphics, logos, and software, are the exclusive property of Santo Labs GmbH or its licensors and are protected by copyright, trademark, and other intellectual property laws.

7. Disclaimers

The App is provided on an "as-is" and "as-available" basis. We make no representations or warranties of any kind, express or implied, regarding the operation of the App or the information, content, materials, or products included in the App.

8. Limitation of Liability

To the fullest extent permitted by law, Santo Labs GmbH shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the App.

9. Indemnification

You agree to indemnify, defend, and hold harmless Santo Labs GmbH, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising out of or related to your use of the App or your violation of these Terms.

10. Brian App Specific Terms

10.1 Non-Custodial Solution

  1. The Brian App is a non-custodial solution. When you use the "Send Transaction" features, the AI is only used for intent recognition and not for transaction execution. This means you are aware that no AI agent is executing anything on your behalf, and you MUST review and confirm the transaction manually by signing it with your EOA wallet (like Metamask or Rabby Wallet).
  2. Being a non-custodial solution, you acknowledge the risks involved in using real funds and are solely responsible for what happens to your funds after the transaction execution. Please read the transaction description and information (check the "Transaction Info" box) carefully before executing the transaction.
  3. Following the above points and being aware of all associated risks, you accept to renounce any claims for lost funds against the Brian team.

10.2 Prompt-to-Earn Program

  1. You acknowledge that by prompting and executing transactions using the "Send Transaction" feature, you are rewarded with off-chain points that are not transferable and have no associated value.
  2. You understand that these points do not guarantee any claim to the Brian team, such as a means of value like a transferable token or anything similar.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law principles.
